Contract for Vivint Buyout of ADT Contract
This contract (“Contract”) is entered into and made effective as of the date of the last signature below (“Effective Date”), by and between Vivint Inc. (“Vivint”) and the ADT customer (“Customer”) whose name and address are set forth in the signature page below.
1. Definitions |

“Vivint” means Vivint Inc., a company organized and existing under the laws of the State of Delaware, with its principal place of business at 4931 North 300 West, Provo, Utah 84604. |
“ADT” means ADT Inc., a company organized and existing under the laws of the State of Delaware, with its principal place of business at 1501 Yamato Road, Boca Raton, Florida 33431. |
“Contract” means the existing contract between Customer and ADT for the provision of security services and related equipment, as evidenced by the written agreement executed by the parties and currently in force. |
“Buyout” means the act of Vivint purchasing, assuming, or otherwise taking over the rights and obligations of the Contract from ADT in exchange for consideration. |
“Effective Date” means the date of the last signature on this Contract. |
“Customer” means the individual or entity whose name and address are set forth in the signature page below, as the current party to the Contract with ADT. |
2. Buyout Agreement |
